General Terms & Conditions – Leading Ladies Business Club
1. Introduction
1.1 By registering as a member of the Leading Ladies Business Club (hereinafter referred to as “the Club”) and agreeing to these General Terms & Conditions, you enter into a contractual agreement with the Club. Your membership is activated upon approval of your application and full payment of the annual membership fee.
1.2 The Club operates under various (brand) names and domains, including Leading Ladies Business and leadingladiesbusinessclub.com.
1.3 These General Terms & Conditions apply to all memberships and any form of access to the Club’s services and platforms. Membership is exclusively available to adult natural persons in executive roles such as CEO, entrepreneur, director, shareholder, or an equivalent position.
2. Membership and Registration
2.1 Your application will be assessed for eligibility and may be accepted or declined. Upon acceptance, your membership will be activated for a period of one year (12 months), granting access to the platform and exclusive events.
2.2 The Club reserves the right to decline a membership application without providing any reason.
2.3 The annual membership fee is €2,000 excl. VAT and is tax-deductible. Payment must be made via invoice within 14 days.
2.4 Upon successful registration, the member will receive an invoice at the email address provided. If incorrect information is submitted leading to exclusion, the Club reserves the right to charge administrative fees.
2.5 The information provided by the member will only be shared within the private platform among other members, unless this violates legal regulations.
2.6 The Club strives to provide optimal service but cannot guarantee uninterrupted platform functionality due to technical maintenance or external disruptions.
3. Member Obligations
3.1 Members must:
• Provide accurate and up-to-date information at all times.
• Upload a recent profile picture where they are clearly recognizable.
• Use the platform exclusively for business and professional interactions.
3.2 Members must not:
• Share their login details or password with third parties.
• Use the platform for spam, promotional purposes, or unsolicited sales.
• Post offensive, misleading, or unlawful content.
3.3 The Club reserves the right to remove accounts or content that violate these conditions.
3.4 Code of Conduct
• Members are expected to conduct themselves professionally and respectfully at all Club events and online interactions.
• Discrimination, harassment, or inappropriate communication within the Club will not be tolerated.
• The Club reserves the right to suspend or expel members for misconduct.
4. Events and Activities
4.1 Members receive access to a minimum of four exclusive events per year, which are included in the membership.
4.2 The Club reserves the right to organize additional events that may require separate participation fees.
4.3 Fair Use Policy
• For events with limited capacity, the Club reserves the right to regulate registrations to ensure fair access.
• If an event is fully booked, priority may be given to members who have participated less frequently in previous events.
5. Confidentiality and Non-Disclosure (NDA)
5.1 Members may have access to confidential information of other members within the Club, including but not limited to business strategies, financial data, and non-public professional connections.
5.2 Members agree to keep all confidential information shared within the Club strictly confidential and not to use it for personal gain or disclose it to third parties without explicit written consent from the concerned party.
5.3 This confidentiality obligation remains in effect for three (3) years after the termination of membership.
5.4 Violation of this clause may result in immediate termination of membership and legal action.
6. Membership Termination and Cancellation
6.1 Membership is valid for 12 months and will be automatically renewed, unless canceled in writing via registered mail at least 30 days before renewal.
6.2 The Club may immediately terminate membership if:
• The member violates the law or these terms.
• The member provides false or misleading information.
• The member damages the reputation of the Club.
• The member breaches the confidentiality agreement.
6.3 No refunds will be provided for membership fees, regardless of the reason for termination.
6.4 If a member violates confidentiality rules or engages in misconduct, the Club may impose a fine of € 5,000 in addition to immediate membership termination.
6.5 The Club reserves the right to take legal action in cases of misuse of intellectual property or trademark-related materials.
7. Liability
7.1 The Club is not liable for:
• The accuracy or completeness of information shared by members.
• Any business or financial consequences resulting from interactions between members.
• Technical failures, network issues, or other external factors affecting platform performance.
7.2 In case of damage claims, the Club’s liability insurance applies. Claims can never exceed the amount of the paid membership fee.
7.3 External Business Relationships
• The Club is not responsible for agreements or business arrangements made between members.
• The Club does not mediate in disputes between members who engage in business with one another.
8. Intellectual Property
8.1 All content on the platform, including texts, logos, images, and documents, is the property of the Club and may not be reproduced, distributed, or shared without prior written consent.
8.2 Use of the Club’s Name & Brand
• Members may not use the name Leading Ladies Business Club for personal commercial activities, promotions, or partnerships without prior written approval.
• The use of the Club’s logo, branding, or any other related materials is only allowed with explicit permission from the Club.
9. Changes to the General Terms & Conditions
9.1 The Club reserves the right to amend these General Terms & Conditions at any time.
9.2 Members will be notified of any changes at least 14 days before they take effect. If the member does not submit a written objection within this period, the changes are considered accepted.
10. Applicable Law and Disputes
10.1 These General Terms & Conditions are governed by Dutch law.
10.2 Any disputes will be exclusively submitted to the competent court in Amsterdam, the Netherlands.
Final Remarks
These General Terms & Conditions constitute the full agreement between the member and the Club. Any additional oral or written agreements are not legally valid unless explicitly stated in writing.
